Job description
Role Overview
The Corporate Governance Manager will oversee the establishment and adherence to a comprehensive and proportional corporate governance system. This individual ensures that the Board of Directors across the group entities operates with accountability, transparency, fairness, and follows established rights, duties, and conflict resolution mechanisms. This framework addresses the interaction among shareholders, directors, management, employees, and the wider community, promoting control and information flow under direct supervision of the Corporate Governance Director.
Key Duties
- Enforce and monitor compliance with the governance framework.
- Coordinate Board meetings, including invitations, scheduling, and communication with Directors and Board secretaries.
- Collect and review presentation materials prepared by employees for Board meetings.
- Create presentations specifically on corporate governance topics.
- Draft board resolutions with oversight from the Corporate Governance Director.
- Manage distribution of assorted materials requested by Board members.
- Review and produce meeting minutes as necessary.
- Track and ensure follow-up actions on board decisions and resolutions are implemented.
- Preserve archives of board documents and materials.
- Oversee the flow of internal and external communications to and from the Board and Secretary, ensuring they are consistent, timely, and effective.
- Contribute to creating corporate governance policies and procedures aligned with company strategy and risk registers.
- Deliver essential information to managers, board members, and staff.
- Engage with various management levels to document procedures, analyze data, and propose process improvements.
- Identify and recommend ways to enhance work procedures, service quality, and efficiency, communicating opportunities to leadership.
Skillset and Knowledge Requirements
- Fluent command of spoken and written English.
- Strong verbal and written communication capabilities.
- Expertise in preparing detailed reports, minutes, and official documents addressing complex or sensitive matters clearly and persuasively.
- Proficient in gathering and analyzing information to produce insightful reports.
- Capable of assessing data to suggest decisions and develop documentation.
- Efficient use of resources and ability to manage multiple tasks to completion within deadlines and under pressure.
- Handling confidential information with discretion.
Experience and Educational Background
- Preferably, experience in oil and gas or construction sectors.
- Between three to five years in corporate governance roles, joint venture management, or project management teams; familiarity with GCC markets considered advantageous.
- Bachelor's degree required.
