Role Overview
This position involves overseeing Bupa Arabia's external corporate governance responsibilities. The Assistant Manager will ensure that all market disclosures, shareholder relations, General Assembly activities, related-party transactions, and statutory filings are accurate, timely, and fully compliant with regulatory standards. The role also offers governance advice, keeps comprehensive records ready for audit, and fosters transparency and regulatory trust for efficient shareholder management.
Key Responsibilities
- Manage timely market disclosures and announcements by evaluating disclosure triggers, collaborating with relevant units such as Finance, Legal, and Investor Relations, preparing and reviewing announcements, securing approvals, publishing through designated channels, and maintaining updated disclosure logs with supporting documents.
- Oversee shareholder and General Assembly procedures by creating and adhering to a General Assembly schedule, preparing agendas, notices, supporting documents, arranging voting processes, coordinating shareholder communications, documenting resolutions and meeting minutes, and ensuring execution of actions and reports.
- Handle related-party transaction governance by gathering and evaluating information from relevant sources, coordinating documentation with Finance and Legal teams, overseeing review, approvals, disclosures, and subsequent actions, maintaining the RPT register, and highlighting any regulatory or procedural gaps.
- Maintain compliance with external governance regulatory requirements by monitoring a regulatory calendar, following applicable rules and updates, coordinating periodic filings with proof, identifying compliance shortfalls, and supporting the implementation of regulatory changes.
- Enhance reporting, documentation, and protocols by preparing governance updates, dashboards, and status reports, maintaining a thorough external governance records repository, improving templates and trackers, and assisting with audit or assurance activities.
Required Skills and Expertise
- Proven capability in handling regulatory deadlines and managing complex documentation.
- Strong skills in analysis, drafting, project coordination, stakeholder engagement, and effectively resolving issues.
- Proficiency with Microsoft Office suite, especially advanced skills in Excel and PowerPoint.
- Bilingual communication skills with fluency in both Arabic and English, written and spoken.
