Job description
Role Overview
EROAD seeks a seasoned Senior Governance Counsel to enhance its legal team by providing expert legal, governance, and company secretarial services across the organization. This pivotal role involves supporting the Board and its Committees, upholding governance frameworks, and offering counsel on corporate and securities law, continuous disclosure, compliance with listing rules, and enterprise risk management.
Key Responsibilities
Act as a trusted advisor to the General Counsel, Executive Leadership Team, and Board on strategic governance, regulatory, and corporate issues. Provide broad legal support spanning commercial contracts, strategic initiatives, procurement, privacy, intellectual property, and legal risk. Lead and influence through significant senior stakeholder engagement and functional leadership.
Candidate Profile
- Experienced legal professional with preferably over eight years post-qualification experience, either in a senior in-house capacity or as a Senior Associate or above in corporate or capital markets law.
- Possesses or is eligible for a current New Zealand practicing certificate.
- Demonstrated expertise in corporate governance and securities legislation, ideally within NZX or ASX listed entities.
- Proficient knowledge of the Financial Markets Conduct Act, Companies Act, and NZX Listing Rules.
- Experience managing Board and Committee procedures, continuous disclosure obligations, and capital markets transactions.
- Excellent drafting abilities and adept at articulating complex legal issues clearly.
- Confidence in advising Boards, senior executives, and stakeholders.
- Strong commercial insight with pragmatic, risk-conscious decision-making.
- Highly organised, proactive, and capable of thriving in a dynamic environment.
- Interest in artificial intelligence and cutting-edge legal technologies; prior work developing AI tools for legal applications is highly valued.
