About the Role
The Corporate Governance Manager is tasked with spearheading the design, execution, and ongoing refinement of the organization’s governance framework to ensure full compliance with applicable legal, regulatory, and internal standards. This role involves oversight of governance structures, policies, and operational procedures to maximize transparency, accountability, ethical behavior, and sound decision-making processes across the company.
Key Responsibilities
- Drive the development and continual improvement of corporate governance frameworks, policies, and procedures.
- Ensure governance approaches align with established governance principles, relevant laws, and industry-leading best practices.
- Coordinate governance implementation across all departments to uphold consistent standards.
- Ensure adherence to legal regulations and internal policies while proactively identifying and resolving governance gaps.
- Support the Board of Directors and its committees by managing governance-related activities and facilitating informed decision-making.
- Track compliance with governance policies and provide detailed reports and recommendations to senior leadership and the Board.
- Identify governance risks, develop mitigation strategies, and implement control measures.
- Oversee ethics and integrity initiatives to maintain conformity with the organization's Code of Conduct and governance expectations.
- Conduct governance audits, assessments, and reviews to assess effectiveness and implement improvements.
Candidate Profile
- Bachelor’s degree in a pertinent field; advanced degrees or certifications in governance are advantageous.
- Demonstrated experience in corporate governance, compliance, or related disciplines.
- In-depth knowledge of governance principles, regulatory demands, and best practices within the industry.
- Strong leadership, communication, and judgment skills.
- Ability to work collaboratively with senior management, board members, and cross-functional teams.
- Analytical aptitude for detecting and addressing governance-related risks and challenges.
- Proven track record in creating and executing governance policies and frameworks.
- Familiarity with ethics programs and governance control mechanisms.
- Competence in conducting governance evaluations, audits, and improvement plans.
