Description

We are seeking a detail-oriented professional for a temporary, nine-month position to join our team, providing critical support to corporate governance and entity management by maintaining corporate records, cap charts, updating corporate documents, drafting resolutions, and ensuring compliance with regulatory requirements.

This position demands a commitment to upholding the highest standards of integrity and discretion in all corporate activities. Additionally, this role will collaborate with legal and finance teams to monitor obligations and ensure the best corporate governance. Furthermore, this position will ensure ticketing, activities, and legal processes are thorough and on-schedule. This role requires strong analytical skills, meticulous attention to detail, and the ability to work collaboratively within a fast-paced environment.

We are seeking candidates that are located within 50-miles of our office in Morrisville, N.C. as this is a hybrid position that will require at least one day worked on site per week..

Core Responsibilities

General Responsibilities:

  • Assist the General Counsel in managing corporate governance and compliance matters.
  • Maintain and update corporate records, including board resolutions, meeting minutes, and entity filings.
  • Prepare and review corporate documents, including agreements, notices, and compliance filings.
  • Monitor and track key corporate deadlines, ensuring timely submissions and regulatory compliance.

Specific Responsibilities:

  • Update corporate books and records to reflect changes. Prepare and distribute annual meeting notices, or other notices as needed, ensuring compliance with bylaws and statutory requirements.
  • Assist General Counsel in any research as needed.

Education, Experience, Specialized and Preferred Skills

Education Level: Bachelor’s Degree

Experience Level: 5+ years as a corporate in-house paralegal or corporate paralegal.

Specialized Skills, Certificates, Licenses: Paralegal Certificate

Required Skills: Critical thinking, operating with integrity, highly detail-oriented. High level of confidentiality. Strong oral and written communication skills, proficiency in Microsoft Office Suite, BoldDesk, and/or CRM databases.
