JOB PURPOSE

The Company Secretariat team is responsible for supporting Burberry in promoting the highest standards in corporate governance, public disclosures and regulatory filings. This role is primarily focused on activities to support the governance and administration of Burberry’s subsidiary entities and joint ventures across the world. The role also involves activities relating to Burberry Group plc as the fully listed parent company.

 

As the Company Secretarial Assistant you will work closely with the Assistant Company Secretary and report into the Director – Company Secretarial. You will be part of the Company Secretarial team which encompasses a further five team members including the Group Company Secretary. 

 

The role is permanent and will be based in the newly refurbished London head office.  

RESPONSIBILITIES

 

In this role, you will be:

 

  • Assisting with statutory compliance for Burberry subsidiaries across Middle East, Asia Pacific and UK including working together with the third-party advisors to manage the annual compliance calendar for each entity
  • Reviewing and arrange execution of company resolutions and other documents, including notarisation and affixing the apostille where necessary
  • Arranging and attend subsidiary board meetings and assist with the process for approval and filing of accounts and director changes
  • Updating statutory records in Diligent Entities and coordination of invoicing
  • Arranging execution of powers of attorney and other subsidiary governance documents and maintaining relevant trackers
  • Preparing UK statutory forms and filing with the Registrar of Companies and updating statutory books and records
  • Assisting with preparations for Burberry Group plc’s Annual General Meeting
  • Assisting with drafting governance sections of the Burberry Group plc Annual Report
  • Assisting with issued share capital management, including updating internal records, preparation and filing of SH01’s
  • Drafting/releasing Stock Exchange announcements including Total Voting Rights, blocklisting and share buyback
  • Supporting the team with share registration matters / shareholder queries
  • Responding to queries from across Burberry on the group structure and assist with KYC requests
  • Assisting with compliance requirements of the UK Companies Act, UK Listing Rules and the UK Corporate Governance Code

PERSONAL PROFILE

 

  • Minimum 1 years’ company secretarial experience in a listed company, large private company or professional services environment
  • Either part way through the Chartered Governance Institute qualification or committed to embarking on the professional qualification on joining (study support available)
  • Knowledge of Companies Act, in particular within the context of subsidiary governance
  • Demonstrable experience of the governance and administration of subsidiary entities, including accounts approval, director and shareholder meeting processes and dividend payments
  • Some knowledge of the UK Listing Rules & DTR and Market Abuse Regulation and corporate governance requirements of a listed company
  • Working knowledge of Diligent Entities
  • Worked within an international corporate environment or complex organisation
