Key Responsibilities
Statutory and Regulatory Compliance:
- Ensure compliance for the Group’s legal entities, including IOM/UK and overseas subsidiaries.
- Maintain statutory registers and minute books.
- Fulfill filing requirements such as annual returns, change of details, and allotment returns.
- Assist in the production and filing of annual statutory accounts.
- Maintain the Group structure chart and list of directors and officers.
- Manage overseas company secretarial advisers (incl. Channel Islands, Isle of Man, Canada, EU, US, and Far East).
Share Incentive Schemes Management:
- Assist with management of the Group’s share incentive schemes, including LTIP.
- Ensure scheme records are current and accurate.
- Manage the annual grant and maturity programs for executive, shadow, and savings-based options and LTIP awards.
- Prepare HMRC share scheme tax returns.
Subsidiary Governance and Board Support:
- Support Board meetings for all subsidiaries, including agenda and paper preparation, meeting attendance, and minute-taking.
- Assist with project management and Company Secretarial input for statutory annual report and accounts preparation and filings.
- Assist with aspects of subsidiary AGMs.
Board and Corporate Governance Support:
- Produce and distribute board and committee packs.
- Copy, prepare, and review all papers.
- Stay informed on legislative and regulatory developments.
Ad Hoc Project Assistance:
- Support with acquisitions, disposals, capital raising, consolidation, or buy-back exercises.
Administrative Support:
- Provide administrative support on insurance and risk management activities.
Requirements
- Recently or part-qualified Company Secretary (ACG), preferably with experience in an overseas group company environment.
- Experience working in a fast-paced, complex business.
- Familiarity with using Diligent Entities (Blueprint) and Docusign is preferable
- Meticulous attention to detail.
- Strong ability to build lasting and effective relationships; recognized as a trusted counselor with integrity and a straightforward approach.
- Capable of working on own initiative, planning, and monitoring workload progress while meeting deadlines.
- Good commercial acumen.
- Excellent interpersonal skills.
- Well-organized and adaptable to an ever-changing environment with conflicting commercial needs.
- Strong influencing skills in an autonomous and decentralized business setting.
- Solid understanding of corporate governance issues.
