The company places strong emphasis on safety, inclusion, learning, transparency, and recognising talent.Role overviewThe Company Secretary will manage the company’s secretarial and compliance administration, with a focus on statutory and regulatory adherence, execution of board decisions, and oversight of accounting-related activities.Key responsibilitiesBuild productive working relationships with colleagues and external partners.Take ownership of personal and professional development, including completing performance management steps through the PE@T process and Trakstar notes where relevant.Show visible safety leadership in day-to-day conduct and interactions, and help strengthen Thiess’ safety culture.Support the rollout, adoption, and ongoing effectiveness of Thiess Safety Essentials.Organise board and shareholder meetings such as AGMs and EGMs, including scheduling, issuing notices, preparing agendas, drafting circular resolutions, attending meetings, recording minutes, and preparing directors’ reports and resolutions in line with applicable laws and company governing documents.Ensure board decisions are implemented and, where required, file resolutions with the Registrar of Companies.Advise directors on governance matters, statutory duties, and obligations under corporate law, the Memorandum and Articles of Association, and shareholder agreements.Review and maintain proper board procedures on an ongoing basis.Prepare documents for incoming and outgoing office holders, annual account approvals, annual return filings, and other corporate filings, ensuring submissions are completed within prescribed timelines.Create and maintain statutory books and registers, including director and secretary records, shareholder registers, charge registers, meeting minutes, and debenture holder records, along with annual return filings.Share company record information with the Company Secretary of Thiess Pty Ltd when needed, and notify them of major changes in company structure or management such as director appointments or resignations.Ensure all required notices of interest are captured in board minutes and stored in the company’s minute books; withhold relevant material from directors where necessary for conflicted matters.Confirm that company stationery, website content, email signatures, and order forms display the required legal company details.Draft and review a wide range of legal and commercial documents, including agreements, MOUs, POAs, NDAs, affidavits, indemnity bonds, letters of authority, and banking agreements.Liaise with ROC, MCA, RBI, financial institutions, banks, and other regulators to manage compliance requirements.File financial statements in XBRL format and submit forms, returns, and documents with ROC under MCA-21 in line with the Companies Act and related regulations.Work with statutory and internal auditors on Companies Act compliance matters.Coordinate with authorised dealers and manage RBI-related statutory filings such as Form ODI, APR, Annex-6, FC GPR, and the Annual Return of Assets & Liabilities.Maintain FEMA-related records and support compliance for FDI and ODI matters involving JV/WOS structures.Coordinate with customers and business partners on tenders, payment follow-up, and legal disputes.Handle interactions with insurers, brokers, and surveyors for coverage, renewals, claims, and negotiation support.Work with internal, cost, and statutory auditors to ensure audits and balance sheet working are completed on time.Respond to notices from the Income Tax Department and provide supporting documents and data for scrutiny assessments.Prepare and file Form 15CA and 15CB for overseas remittances, including online submission of Form 15CA.Manage deductions and remittances for TDS, and support timely filing and payment of Service Tax, GST, and related statutory dues.Maintain the fixed asset register in line with the Companies Act.Coordinate with vendors for payments and information flow.Create purchase requisitions and purchase orders.Maintain bookkeeping records for vouchers and invoices.Track vendor payments and related information in a timely manner.Enter and maintain data in JD Edward.Prepare periodic reports and updates.RequirementsMust be a qualified member of the Institute of Company Secretaries of India (ICSI);
